Terms of Service

1. Acceptance of Terms

By accessing or using Spotbo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Spotbo, Inc. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Eligibility

You must be at least 18 years old to create an account and use Spotbo. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. User Accounts

To use Spotbo, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may not create multiple accounts, use another person's account without permission, or transfer your account to another person. If you believe your account has been compromised, contact us immediately at info@spotbo.com.

4. User Content

You retain ownership of any content you post on Spotbo, including photos, text, and meetup descriptions ("User Content"). By posting User Content, you grant Spotbo a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

This license terminates when you delete your content or your account, except for (a) content that has been shared or reposted by other users, and (b) content that is reasonably necessary for the continued operation of the Service (for example, a meetup description that has already been displayed to attendees). Copies of deleted content may persist in our backups for up to 30 days before being permanently removed.

Content Moderation & AI Training

Your User Content may be used to train and improve Spotbo's content moderation and safety systems. This helps us better detect harassment, spam, illegal content, and other policy violations. Your User Content will NOT be used to train generative AI models or sold to third parties for any AI training purpose. This use is limited strictly to maintaining the safety and integrity of the Spotbo platform.

You are solely responsible for your User Content and represent that you have all necessary rights to post it. We reserve the right to remove any User Content that violates these Terms or our Community Guidelines.

5. Prohibited Conduct

You agree not to use Spotbo for any unlawful purpose or in any way that could damage, disable, or impair the Service. Specifically, you may not:

  • Harass, threaten, or intimidate other users
  • Post false, misleading, or deceptive content
  • Impersonate any person or entity
  • Use the Service for commercial solicitation, spam, or multi-level marketing
  • Attempt to gain unauthorized access to other accounts or systems
  • Use automated means (bots, scrapers) to access the Service without our permission
  • Circumvent any security features or access controls

Any violation of our Community Guidelines constitutes a violation of these Terms and may result in warnings, suspension, or permanent removal of your account at our sole discretion.

6. Copyright & DMCA

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been used on Spotbo in a way that constitutes copyright infringement, please follow the procedures in our DMCA Policy. Our designated DMCA agent can be reached at info@spotbo.com or by mail at Spotbo, Inc., 1111B S Governors Ave STE 29027, Dover, DE 19904. We will respond to valid notices of claimed infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512).

7. End-to-End Encrypted Messaging

Spotbo offers end-to-end encrypted ("E2EE") direct messaging. When E2EE is active, message content is encrypted on your device before being sent and can only be decrypted by the intended recipient. This means Spotbo cannot access, read, or produce the content of your encrypted messages, even in response to legal process. By using E2EE messaging, you acknowledge the following:

  • User responsibility. You are solely responsible for the content of your encrypted messages. Spotbo cannot moderate, filter, or review encrypted message content.
  • Encryption keys. Your encryption keys are generated and stored on your device. If you lose access to your device or clear your browser data, your encryption keys may be permanently lost, and previous messages may become unreadable. Spotbo cannot recover your encryption keys.
  • Metadata. While message content is encrypted, Spotbo does have access to message metadata, including sender identity, recipient identity, and timestamps. This metadata is necessary to deliver messages and operate the Service.
  • Abuse reporting. If you receive abusive or illegal content via encrypted messaging, you may report it to us by forwarding the decrypted content through the in-app reporting feature. We will investigate reports and take appropriate action, up to and including account termination and referral to law enforcement.
  • GIF searches. GIF searches performed within the messaging feature are powered by Tenor (Google) and are NOT encrypted. Your search queries are sent to Tenor's servers.

8. Meetups and In-Person Events

Platform Role

Spotbo is a technology platform that facilitates connections between people in your city. Spotbo is not an event organizer, venue operator, or travel agency. We do not organize, supervise, control, or endorse any meetup or event listed on the platform. All meetups are created and managed solely by individual users ("Creators"). Spotbo acts only as an intermediary that provides the technology tools for Creators and attendees to connect.

Assumption of Risk & Release

By using the Service, you acknowledge and agree to the following:

  • Assumption of risk. You attend meetups and in-person events entirely at your own risk. You voluntarily assume all risks arising from your participation in any meetup, including but not limited to personal injury, property damage, illness, or death.
  • Release. To the fullest extent permitted by applicable law, you release and discharge Spotbo, Inc., its officers, directors, employees, agents, and affiliates, as well as all other users (including Creators), from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your participation in any meetup or in-person event, whether caused by the negligence of any released party or otherwise.
  • No background checks. Spotbo does not conduct background checks, criminal screenings, or identity verification on any user. We make no representations or warranties regarding the character, integrity, or trustworthiness of any user.
  • No identity verification. We do not verify the identity of users who create accounts or host meetups. Users may not be who they claim to be.
  • No liability for other users. Spotbo is not liable for the actions, conduct, or behavior of any user, whether at a meetup or otherwise. This includes, without limitation, any injury, harm, damage, or loss caused by another user.

Creator Responsibilities

If you create a meetup on Spotbo, you agree to the following additional responsibilities:

  • Provide accurate and complete information about your meetup, including the location, date, time, and any costs involved.
  • Comply with all applicable local, state, and federal laws and regulations, including obtaining any necessary permits or licenses.
  • Be present at the meetup you created, or clearly communicate any changes or cancellations to attendees in advance.
  • Choose safe, accessible venues appropriate for the planned activity.
  • Not use meetups for illegal activity, commercial solicitation, or any purpose that violates these Terms or our Community Guidelines.

Safety Recommendations

We strongly recommend that you meet in public places, especially when meeting someone for the first time. Let a trusted friend or family member know your plans, including where you are going and who you are meeting. We encourage you to have an emergency contact readily available and to share your live location with a trusted person when attending meetups with people you have not met before.

California Civil Code Section 1542 Waiver

If you are a California resident, you hereby waive California Civil Code Section 1542, which provides:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You understand and acknowledge that you may discover claims presently unknown or unsuspected, and you nevertheless intend the release in this section to cover all such claims. You expressly waive any rights you may have under any statute or common law principle that would otherwise limit the scope of this release to include only those claims that you knew or suspected existed at the time of agreeing to these Terms.

9. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. You may also delete your account at any time through the app settings. Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Spotbo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to damages arising from in-person meetups, interactions with other users, or reliance on any content or information made available through the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

12. Dispute Resolution & Arbitration

Informal Resolution

Before filing any formal dispute, you agree to first contact us at info@spotbo.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly and to your satisfaction during this informal process.

Binding Arbitration

If we cannot resolve a dispute informally, you and Spotbo agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including its formation, performance, or breach) shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, in English, and the seat of arbitration shall be in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You and Spotbo agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration against Spotbo.

Mass Arbitration

If 25 or more similar arbitration demands are filed against Spotbo within a 60-day period ("Mass Arbitration"), the following procedures apply: (a) the arbitration demands will be organized into batches of no more than 10 claims each; (b) a single arbitrator will be appointed for each batch; (c) each batch will be resolved before the next batch proceeds; (d) the resolution of the first batch will be used as a basis for mediating the remaining batches; and (e) all statutes of limitations and filing deadlines will be tolled for claims that are not yet in an active batch. If your claim is part of a Mass Arbitration, you agree to cooperate in the batching process and understand that resolution of your claim may be delayed.

Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to info@spotbo.com within 30 days of creating your account, with the subject line "Arbitration Opt-Out." Your notice must include your name, username, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts specified in Section 13.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service that are not subject to arbitration under Section 12 shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. For the avoidance of doubt, internal corporate matters of Spotbo, Inc. are subject to the exclusive jurisdiction of the Delaware Court of Chancery in accordance with the company's bylaws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice within the app or sending you an email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, please stop using the Service and delete your account.
